MEMBERSHIP AGREEMENT

1. PARTIES

a) An internet user ("Member/You") who registers as a member of the and iconic website (“Site”), operated by and iconic, a company established under the laws of the Republic of Turkey, with its registered address at Ali Çetinkaya Mah. 3080 Sk. Eda Apt. No: 20A Ayvalık / Balıkesir, Turkey, Tax Office Number: 2741736919.

2. SUBJECT OF THE AGREEMENT

This Membership Agreement ("Agreement") governs the rights and obligations related to the use of the Site.

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

3.1. To obtain membership status, individuals who wish to become Members must click on the “Sign Up” button on the Site and complete the required information. The Member declares and undertakes that the personal and other information provided during registration is accurate and true, and will indemnify and compensate and iconic for any damages arising from the inaccuracy of this information. By clicking on the "Sign Up" button, you are deemed to have accepted this Agreement.

3.2. The username and password required to access the Member’s account and perform transactions on the Site are created by the Member. The Member is solely responsible for the security and confidentiality of these credentials. The Member agrees to notify and iconic immediately of any unauthorized use of their account or any other security breaches. The Member assumes full responsibility for any actions taken under their username and password and cannot claim otherwise to evade their obligations.

3.3. The Member cannot share their password with third parties. The right to use the password belongs solely to the Member. The Member is responsible for all consequences arising from sharing their password and shall compensate and iconic for any claims or damages resulting from such actions.

3.4. The Member agrees to comply with all applicable legal provisions while using the Site and undertakes not to violate these laws. The Member will bear all legal and criminal responsibilities for any violations.

3.5. The Member may not use the Site in any manner that disrupts public order, violates general morality, harasses or disturbs others, infringes upon intellectual and copyright rights, or pursues unlawful purposes. The Member is also prohibited from engaging in activities (e.g., spamming, spreading viruses, using Trojan horses) that prevent or hinder others from using the Site.

3.6. and iconic reserves the right to remove, modify, restrict, or block any content or service on the Site at its discretion without prior notice. The Member agrees not to make any claims against and iconic regarding such actions.

3.7. and iconic is not responsible for:

• Damages caused by incorrect use of the Site or failure to comply with the Terms of Use,
• Failures arising from hardware, software, or network-related functions,
• Communication network design and connection errors,
• Voltage fluctuations, power outages, viruses, or other environmental factors.

3.8. Content, opinions, and thoughts expressed by the Member on the Site reflect the Member’s personal views and are not associated with and iconic. and iconic is not liable for any damages incurred by third parties or the Member due to such views.

3.9. and iconic is not responsible for unauthorized access to Member data or for damages caused to Member software and data due to reasons beyond its control.

3.10. The Member agrees not to access or use other Members’ software or data without permission. Any resulting legal and criminal liability lies solely with the Member.

3.11. and iconic reserves the right to:

1. Suspend, modify, or terminate access to any part of the Site for any reason,
2. Update or change applicable policies or rules,
3. Temporarily halt the operation of the Site for maintenance, bug fixes, or other changes.

3.12. If the Member violates any clause of this Agreement, they will be personally responsible for all legal and criminal consequences and will indemnify and iconic against all damages resulting from such violations.

3.13. and iconic reserves the right to suspend or delete the Member’s account, as well as remove files, documents, or information related to the Member, in the event of violations. The Member agrees to this in advance and waives any claims against and iconic.

3.14. The software and design of the Site are the property of and iconic and are protected by intellectual property laws. Unauthorized use, acquisition, or modification of such materials by the Member is prohibited. The Member agrees not to claim any rights over this content.

3.15. and iconic may collect certain information, such as the Member's internet service provider, IP address, access time, pages visited, and the website from which the Member accessed the Site, to improve and enhance the Site.

3.16. and iconic prioritizes the protection of personal data in compliance with the Personal Data Protection Law No. 6698. By using the Site, the Member consents to the processing, storage, and transfer of their data in accordance with the Privacy Statement and Cookie Policy on the Site.

3.17. The Member acknowledges that the Site may contain links to third-party websites. and iconic is not responsible for the privacy policies or practices of these websites.

4. TERMINATION OF THE AGREEMENT

4.1. This Agreement will remain in effect until the Member cancels their membership or and iconic terminates it. In the event of any violation of this Agreement, and iconic reserves the right to suspend or terminate the Member's account without prior notice.

4.2. The Member may terminate their account by clicking the "Delete My Account" button in their account settings.

4.3. Personal data of terminated accounts will be retained for 10 years and then deleted or anonymized in compliance with applicable laws.

5. GENERAL PROVISIONS

5.1. This Agreement is governed by Turkish Law. Disputes will be settled by the Istanbul Central (Çağlayan) Courts and Enforcement Offices.

5.2. In disputes, and iconic’s records (e.g., emails, internet traffic logs) will serve as conclusive evidence.

5.3. Notifications between the parties will be made to the contact information provided by the Member or and iconic’s registered address.

5.4. The invalidity of any provision of this Agreement does not affect the validity of the remaining provisions.

5.5. Failure by and iconic to enforce its rights under this Agreement does not constitute a waiver of such rights.
